Schedule A to the MyGyan Terms of Service

1. When this Schedule applies

This Schedule applies where an organisation ("Organisation", "you") obtains access to MyGyan for its personnel, whether by purchase, trial, or otherwise.

It supplements the Terms of Service ("Terms"), which continue to apply. Words defined in the Terms have the same meaning here.

Order of precedence. Where documents conflict, the following applies, highest first:

  1. a signed Order Form;
  2. a signed Master Services Agreement;
  3. this Schedule;
  4. the Terms.

Acceptance. You accept this Schedule when an Organisation Administrator first accepts it on your behalf, when you place an order, or when you first use Seats — whichever happens first. The person accepting confirms they are authorised to bind the Organisation.


2. Definitions

  • "Learner" — an individual to whom you allocate a Seat.
  • "Organisation Administrator" — an individual you authorise to manage your MyGyan account, Seats, members and assignments.
  • "Organisation Data" — personal data relating to your Learners that we process on your instructions under this Schedule.
  • "Seat" — an entitlement for one Learner to access MyGyan at a specified tier.
  • "Tier" — the level of access attached to a Seat. Current tiers and their features are as published or as set out in your Order Form.
  • "Trial" — a period of access provided at no charge or at a discount under clause 7.

3. Seats

  1. Allocation. You may allocate Seats to Learners up to the number and Tier you have purchased or been granted. You may not exceed that number.
  2. One Learner per Seat. A Seat is for one named individual. Seats may not be shared, and a single Seat may not be used concurrently by more than one person.
  3. Reallocation. You may reassign a Seat from one Learner to another, and change a Learner's Tier, using the controls in your account. Reallocation is permitted where a Learner leaves your organisation or changes role. It is not permitted as a way of rotating a single Seat among several people to avoid buying more.
  4. Adding Seats. You may add Seats during a term. Additional Seats are charged pro-rata from the date added and expire at the end of your existing term, so that all Seats renew together.
  5. Reducing Seats. Reductions take effect at the end of the current term unless your Order Form says otherwise. We do not refund Seats removed mid-term.
  6. Capacity. We may enforce your Seat limit technically, including preventing allocation beyond it.

4. Organisation Administrators

Your Organisation Administrators can:

  • invite individuals to join your organisation on MyGyan, at a role you specify;
  • allocate, reallocate and remove Seats and Tiers;
  • assign courses to Learners;
  • set reporting lines between Learners;
  • view the reporting described in clause 6;
  • manage your organisation's branding on the Platform;
  • start a Trial and manage your subscription.

You are responsible for who you appoint and for everything they do. We may act on the instructions of anyone who appears to us to be an authorised Organisation Administrator, and we are not obliged to verify their internal authority. Tell us promptly at [email protected] if an Administrator should no longer have access.

An Organisation Administrator may invite another person as an Organisation Administrator. You are responsible for controlling this within your organisation.


5. Learners

  1. Learners have their own relationship with us. Each Learner accepts the Terms in their own right, and those Terms govern their personal use of the Platform.
  2. Age. You warrant that every individual to whom you allocate a Seat is at least 18 years old. This is a strict requirement and you indemnify us under clause 11.3 for any breach of it.
  3. Authority to enrol. You warrant that you have the right to enrol each Learner and to provide us with their personal data for that purpose, and that you have given them any notice and obtained any consent required under applicable law.
  4. Notice to Learners. You must tell your Learners, before they start using a Seat, what you will be able to see about their use of the Platform (clause 6), and why. We publish this in our Privacy Policy, but the obligation to notify your own personnel is yours.
  5. Conduct. You must ensure your Learners comply with the Terms. Their acts and omissions in connection with your Seats are treated as yours.

6. Reporting and visibility

This clause describes monitoring of your personnel. Please read it before you enrol anyone.

6.1 What you can see

Your Organisation Administrators, and each Learner's recorded manager, can see the following about Learners on your Seats:

  • name, work email address and mobile number, as provided to us by you;
  • Seat status and Tier;
  • courses assigned, and the date assigned;
  • progress in assigned courses — modules and slides completed, progress made, and date of most recent activity.

A manager sees this for the Learners who report to them. An Organisation Administrator sees it across your organisation.

6.2 What you cannot see

You cannot see:

  • the text of a Learner's prompts, questions or free-text answers;
  • a Learner's assessment answers;
  • documents a Learner uploads, including their résumé;
  • a Learner's activity on any personal MyGyan account held separately from their Seat;
  • a Learner's password or payment information.

6.3 Your responsibilities

You must:

  1. use this reporting for legitimate training and development purposes only;
  2. not use it as the sole basis for any disciplinary or employment decision without giving the Learner an opportunity to respond;
  3. have your own lawful basis for the monitoring under applicable data-protection and employment law;
  4. give your Learners the notice required by clause 5.4.

We are not responsible for how you use this reporting, and you indemnify us under clause 11.3 in respect of it.


7. Trials

Where we provide you with a Trial:

  1. Configuration. We agree the Seat numbers per Tier and the Trial duration with you before the Trial is set up.
  2. Before the Trial starts. You may invite individuals to your organisation and stage Seat allocations in advance. Staged allocations do not take effect and confer no access until you start the Trial. Invited individuals must accept before they can be allocated a Seat.
  3. Starting the Trial. When an Organisation Administrator starts the Trial, staged allocations take effect and Learners receive access at their allocated Tier.
  4. During the Trial. You may add, remove and reallocate Learners and change Tiers, within the agreed Seat numbers.
  5. When the Trial ends. At the end of the Trial period, your subscription ends automatically, allocated Seats are released, and Learners revert to the free tier.
  6. No automatic conversion. A Trial does not convert into a paid subscription automatically, and we will not charge you at the end of a Trial unless you separately place an order.
  7. Trial terms. Trials are provided "as is", without any service commitment, and we may modify or end a Trial at any time.
  8. Learner data survives. Learners keep their accounts and learning history after a Trial ends. They lose access at the Tier only.

8. Data protection

This clause applies where we process Organisation Data on your behalf.

8.1 Roles

  • You are a Data Fiduciary in respect of Organisation Data, including your decisions to enrol Learners, assign them courses, and receive reporting about them.
  • We act as a Data Processor in respect of that processing, on your documented instructions.
  • We are a Data Fiduciary in our own right for the account, security and platform data we need to operate MyGyan and to meet our own legal obligations.

8.2 Our obligations as Processor

We will:

  1. process Organisation Data only on your documented instructions, and as required by law;
  2. ensure our personnel with access are bound by confidentiality;
  3. apply the security measures described in our Privacy Policy;
  4. engage sub-processors only under written terms no less protective than these, and remain responsible for them;
  5. not use Organisation Data to train AI models, and not permit our AI providers to do so;
  6. assist you, so far as reasonable, with Learner rights requests, data-protection impact assessments, and breach notification;
  7. notify you without undue delay if we become aware of a personal data breach affecting Organisation Data;
  8. on your written request at the end of the term, delete or return Organisation Data, subject to any legal retention obligation.

8.3 Your obligations

You will:

  1. have a lawful basis for the processing you instruct;
  2. give your Learners the notice required by clauses 5.4 and 6.3;
  3. ensure your instructions to us do not put us in breach of applicable law;
  4. handle Learner rights requests that relate to your own processing.

8.4 Sub-processors

Our current sub-processors are listed in our Privacy Policy. We will give you 30 days' notice before adding a new sub-processor that processes Organisation Data. If you object on reasonable data-protection grounds, we will work with you in good faith, and if we cannot resolve it you may terminate the affected Seats without penalty.

9. Fees and payment

  1. Fees, Seat numbers and term are as stated in your Order Form, or as shown at the point of purchase where you buy online.
  2. Unless stated otherwise, fees are payable in advance for each term.
  3. Invoiced customers must pay within 30 days of the invoice date. We may charge interest on late payment at 1.5% per month on the overdue amount, and may suspend Seats where an invoice is more than 30 days overdue, after giving you notice.
  4. Fees are exclusive of taxes unless stated. You are responsible for applicable taxes other than tax on our income.
  5. Renewal. Unless your Order Form says otherwise, your subscription renews automatically for successive terms of the same length, at the then-current price, unless either party gives 30 days' notice before the end of the current term.
  6. Price changes on renewal will be notified at least 45 days before the renewal date.
  7. Cancellation and refunds are as set out in this Schedule and your Order Form. The consumer Refund and Cancellation Policy does not apply to Organisation subscriptions.

10. Term, suspension and termination

  1. Term. Your subscription runs for the term in your Order Form, or the term selected at purchase.
  2. Termination for convenience. Either party may terminate at the end of a term by giving the notice in clause 9.5. We do not refund fees for a term already paid.
  3. Termination for cause. Either party may terminate immediately if the other materially breaches this Schedule and does not remedy it within 30 days of written notice, or becomes insolvent.
  4. Suspension. We may suspend Seats where you have not paid an overdue invoice after notice, or where use creates a security, legal or safety risk. We will restore access once resolved.
  5. On termination:
    • Seats end and Learners revert to the free tier;
    • Learners keep their individual accounts and their learning history — we do not delete a Learner's account because your subscription ended;
    • you may export your Organisation Data before termination, and for 30 days afterwards;
    • after that period, we delete your Organisation account and Organisation Data, subject to any legal retention obligation;
    • accrued rights and payment obligations survive, along with clauses 8, 11, 12 and 13.

11. Warranties, liability and indemnity

11.1 Our commitment

We will provide MyGyan with reasonable skill and care. Except as expressly stated, MyGyan is provided "as is" and the disclaimers in clause 16 of the Terms apply.

Clause 9 of the Terms (AI-Generated Content) and clause 10 of the Terms (Educational purpose, physical activity and safety) apply in full to your Learners and to you. In particular:

  • AI Output may be inaccurate or fabricated, and is not professional advice;
  • MyGyan is not a substitute for statutory training, workplace safety training, competence assessment or certification, and completion of a MyGyan course does not evidence that a Learner is trained, competent or authorised to perform any task;
  • you must not use MyGyan as your sole means of discharging any legal duty you owe to your personnel, including any duty relating to health, safety or statutory training.

11.2 Liability

Neither party excludes liability for death or personal injury caused by its negligence, for fraud, or for any liability that cannot lawfully be limited.

Subject to that, and to the maximum extent permitted by law:

  • neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings;
  • our total aggregate liability to you in any twelve-month period will not exceed the total fees you paid us in that period.

11.3 Your indemnity

You will indemnify us against any claim, liability, loss or expense (including reasonable legal fees) arising from:

  1. your breach of this Schedule, including the age warranty in clause 5.2;
  2. your enrolment of a Learner without the right or notice required by clauses 5.3 and 5.4;
  3. your use of the reporting in clause 6, including any employment or disciplinary decision;
  4. any claim by a Learner or a regulator concerning your processing of Organisation Data;
  5. any claim that you relied on MyGyan to discharge a statutory training, safety or competence obligation.

11.4 Our indemnity

We will indemnify you against any third-party claim that your permitted use of MyGyan infringes that party's intellectual property rights in India, provided you notify us promptly, let us control the defence, and do not admit liability. This does not apply to claims arising from your content, your instructions, or use of MyGyan in breach of the Terms.


12. Confidentiality

Each party will keep the other's confidential information confidential, use it only for the purposes of this Schedule, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, independently developed, lawfully received from a third party, or required to be disclosed by law — in which case the recipient will give notice where lawful.

Publicity. We will not name you as a customer or use your logo without your prior written consent.


13. Governing law and disputes

This Schedule is governed by the laws of India.

Arbitration. Any dispute that is not resolved by discussion within 30 days will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before one arbitrator, with the seat and venue at Bengaluru, Karnataka, India, conducted in English. The award is final and binding.

Courts. Subject to that arbitration agreement, the courts at Bengaluru, Karnataka, India — including the City Civil Court at Bengaluru and the High Court of Karnataka at Bengaluru — have exclusive jurisdiction, including over any application in support of or in challenge to an arbitration.

This does not limit the appellate jurisdiction of any court, including the Supreme Court of India, or the writ jurisdiction of any High Court.


14. General

Assignment. Neither party may assign this Schedule without the other's consent, except that either may assign to an affiliate or in connection with a merger or sale of substantially all assets, on notice.

Changes. We may update this Schedule on 30 days' notice. Where you have a signed Order Form, changes take effect at your next renewal rather than immediately. If a change materially disadvantages you, you may terminate at the end of the current term without penalty.

Notices. To you: the email address of your Organisation Administrator. To us: [email protected], with a copy to our registered office.

Entire agreement. This Schedule, the Terms, and any Order Form or MSA are the entire agreement between us about MyGyan.

Severability and waiver. As set out in clause 24 of the Terms.
